Vegas Solutions LLC – Referral Partner Agreement

1. Purpose of the Program

Vegas Solutions LLC offers a referral program that allows independent individuals to introduce potential clients to our website services.

Referral Partners are compensated only when a referred individual becomes a paid client of Vegas Solutions LLC.

2. Referral Partner Status (Independent Contractor)

Referral Partners are independent contractors, not employees, agents, partners, or representatives of Vegas Solutions LLC.

Nothing in this Agreement creates:

• an employment relationship
• a partnership or joint venture
• authority to bind or represent the Company

Referral Partners act independently and at their own discretion.

3. Referral Eligibility & Good-Faith Standard

A referral is considered valid only if:

• The referred person is a legitimate small business owner or authorized decision-maker
• The referral is made in good faith
• The referred person voluntarily chooses to work with Vegas Solutions LLC
• The referred person completes payment for the Company's website service ($599)

Spam, deception, pressure tactics, impersonation, or misleading claims are strictly prohibited.

Vegas Solutions LLC reserves the right to reject referrals that are fraudulent, coerced, or made in bad faith.

4. Referral Fees & Payment Structure

Referral Partners are paid per successful, paid referral as follows:

• 1–2 paid referrals: $100 per referral
• 3–4 paid referrals: $150 per referral (applied retroactively)
• 5 or more referrals: $150 per referral

A "paid referral" means the client has fully paid the $599 website build fee.

There is no limit to the number of referrals a Referral Partner may submit.

5. Payment Schedule & Tax Documentation

Payments are issued bi-weekly on the 1st and 15th of each month.

Before any payment is made, Referral Partners must complete and submit:

• Form W-9 (U.S. persons), or
• Form W-8BEN (non-U.S. persons)

These documents are:

• securely stored
• used only for tax and compliance purposes
• never shared or sold

If total payments reach $600 or more in a calendar year, the Company will issue a 1099-NEC as required by law (U.S. persons).

6. No Authority to Represent the Company

Referral Partners do not represent Vegas Solutions LLC in any capacity.

Referral Partners may not, under any circumstances:

• claim to be an employee, agent, contractor, or representative of the Company
• present themselves as acting on behalf of the Company
• negotiate pricing, services, or terms for the Company
• imply affiliation beyond being an independent referral partner

If the Company determines, at its sole discretion, that the Referral Partner is misrepresenting their relationship with the Company, the Company reserves the right to immediately terminate this Agreement and withhold all pending and future payments, including unpaid referral fees. This remedy is in addition to any other rights or remedies available under law or equity.

7. FTC Disclosure & Advertising Compliance

Referral Partners must comply with FTC disclosure requirements and similar consumer protection laws.

When discussing or recommending Vegas Solutions LLC, you must clearly disclose that:

"I may receive a referral fee if this becomes a paid client."

Deceptive or undisclosed promotions are strictly prohibited.

8. Privacy, Consent & Communication Rules

Referral Partners must respect privacy and data-protection laws (including GDPR and CCPA).

Specifically:

• You may not upload contact lists to any system
• You may not send unsolicited messages on behalf of the Company
• You must contact referrals personally, using your own communication channels (email, text, WhatsApp, etc.)
• The referred person must consent to being contacted

Vegas Solutions LLC does not authorize mass messaging, scraping, or spam.

9. Termination

Either party may terminate participation in the referral program at any time.

Vegas Solutions LLC may terminate immediately for:

• misrepresentation
• deceptive practices
• violation of this Agreement

Valid referrals made prior to termination will be honored if compliant.

10. Limitation of Liability

Vegas Solutions LLC makes no guarantees regarding:

• number of referrals
• conversion rates
• income or earnings

Referral income is not guaranteed and depends entirely on successful client conversions.

11. Governing Law

This Agreement is governed by the laws of the State of Alabama, without regard to conflict-of-law principles.
